AI Functionalities Supplemental Terms

These AI Functionalities Supplemental Terms (“AI Terms”) govern the use of artificial intelligence–based functionalities (“AI Functionalities”) made available by Zultys as part of its Services, Website, or applications.
These AI Terms are incorporated into and form part of the Zultys Cloud Services Terms & Conditions and the Zultys Terms of Use, as applicable. By accessing or using any AI Functionalities, you agree to these AI Terms.
In the event of a conflict between these AI Terms and the governing Terms & Conditions or Terms of Use, these AI Terms shall control solely with respect to the AI Functionalities.
- The Services, Website, or applications may include AI Functionalities (“AI Services”). The most current list and description of AI Services are set forth in the applicable release documentation.
- Customer acknowledges and agrees that, by using the AI Services, it authorizes Zultys and underlying providers to process communications content and related metadata on Customer’s behalf as necessary to provide the AI Services. Zultys may further aggregate or de-identify such communications content and related metadata for its own purposes, including to train its AI models or any other machine learning program or application. As between the parties, Customer owns the inputs submitted into the AI Services and the outputs generated specifically for Customer. However, Zultys owns the AI Services and the underlying technology, statistical and analytical data related to Zultys’ provision of the AI Service and Customer’s use and interactions with the AI Service and the aggregated or de-identified communications content and related metadata.
- Zultys and underlying providers process communications content, recordings, transcripts, summaries, and related data solely in its role as a service provider or processor and solely for the purpose of delivering the AI Services to Customer. Zultys does not control the substance of Customer communications or determine the purposes for which Customer uses the AI Services. Customer is solely responsible for the development, content, operation, maintenance, use, and dissemination of its inputs.
- Customer shall not provide input or attempt to generate output through AI Services that consists of any sensitive or regulated information, including without limitation: (i) protected health information as defined by the Health Insurance Portability and Accountability Act or similar statutes, or health, genetic, biometric record data in general; (ii) government-issued identification numbers of any kind; or (iii) personal financial or bank account information. Customer may not use the AI Services: (i) to develop foundation models or other large-scale models that compete with Zultys or AI Services; (ii) to mislead any person that output was solely human generated; (iii) to generate spam, fraudulent or inappropriate content for dissemination; or (iv) in a manner that violates any technical documentation, usage guidelines, or parameters.
- Customer is solely responsible for determining whether its use of the AI Services complies with applicable laws, regulations, and industry requirements, including those governing the recording, monitoring, transcription, processing of communications, and any notice or consent obligations. Customer represents and warrants that it has all rights, licenses, and permissions needed to provide inputs to the AI Services and provided all legally required notices to, and obtained all legally required consents from, all involved parties prior to using the AI Services.
- The AI Services may include default audio prompts, visual notifications, or meeting notices indicating that communications may be recorded, monitored, transcribed, or otherwise processed using automated or AI-based technologies. Such prompts and notices are provided solely as a convenience to Customers and do not constitute legal advice or ensure Customer’s compliance with applicable laws. Customer remains solely responsible for determining whether additional or different disclosures or consents are required.
- AI-generated outputs, responses, transcriptions, summaries or other contents are provided “as is” and may be inaccurate, incomplete, misleading, biased, or inappropriate for a given context. Zultys does not warrant the accuracy, reliability, completeness, unbiasedness, or suitability of any AI-generated outputs, responses, transcriptions, summaries or other contents. Customer is solely responsible for reviewing, validating, and confirming all AI-generated outputs, responses, transcriptions, summaries or other contents and for ensuring appropriate human oversight throughout its use of the AI Services, including before relying on, acting upon, or communicating such AI-generated outputs, responses, transcriptions, summaries or other contents. Customer is solely responsible for all decisions, actions or inactions arising from its use of the AI Services, including without limitation ensuring such decisions, actions or inactions comply with applicable laws, regulations and other legal requirements, including without limitation those related to data protection, intellectual property and the use of artificial intelligence or machine learning.
- In certain configurations, the AI Services may suppress or disable audio prompts, visual notifications, or other compliance-related notices for communications occurring solely between Customer’s employees, where the system identifies such communications as internal. Customer acknowledges that such suppression is an intentional feature designed to reduce repetitive notifications in internal communications workflows. Customer is solely responsible for providing appropriate notice to, and obtaining any required consents from, its employees regarding the recording, transcription, summarization, or other processing of their communications, including through employee handbooks, internal policies, or similar workforce communications. Zultys does not collect, manage, or verify employee consents on Customer’s behalf.
- Zultys AI Services are provided to support normal, intended business use within the Zultys platform. Use of these services is subject to fair use principles designed to ensure consistent service quality, system stability, and availability for all customers. Zultys may monitor usage patterns and, where necessary, apply reasonable controls, prioritization, or adjustments to address excessive, unintended, or abusive usage that could negatively impact the service or other customers. In such situations, Zultys will make commercially reasonable efforts to notify the customer and work collaboratively to resolve the issue.
- Customer will not and will not permit any third party to use the AI Services in violation of these Terms and Conditions. In addition to any of its rights or remedies (including without limitation, any termination rights) set forth in these Terms and Conditions or the Service Agreement, Zultys reserves the right to suspend or terminate the provision of the AI Services to Customer if Zultys reasonably determines that Customer is in breach of this Section 3.3.
- Zultys may update, modify or replace the AI Services. Zultys will use commercially reasonable efforts to provide prior notice of any material changes that may significantly affect the AI Services.
